"On 5 June 2009 the company's UK holding company WH Holding Limited was acquired by CB Holding ehf, a company incorporated in Iceland (registration number 660209-0930). The controlling shareholder in CB Holding ehf is Straumur Burdaras Investment Bank hf ("Straumur"). On 9 March, the Fjármálaeftirlitið (the "FME" - the Icelandic Financial Supervisory Authority) appointed a Resolution Committee to take control of Straumur. The Resolution Committee comprises five members appointed by the FME. The Resolution Committee reports to, acts under the instructions of and operates in consultation with the FME. Following the appointment of the Resolution Committee the former shareholders in Straumur have no remaining voting rights in the company."

"Following a subscription for shares in WH Holding Limited on 18 January 2010, the interest of CB Holding ehf in the shares was reduced to 50%. On 18 January 2010, Mr David Sullivan and Mr David Gold each acquired a 25% interest in the shares of the company.

"On 24 May and 9 August 2010, Messrs Sullivan and Gold each acquired further shares in the company. Consequently their respective interests have increased to 30.6% and that of CB Holding ehf has reduced to 35%. The remaining 3.8% is held by minority interests.

"Accordingly, following these transactions, no one party holds a controlling interest in the shares of the company."
